1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and AmpSocial ("Company," "we," "us") governing your access to and use of the AmpSocial platform at ampsocial.aiand all related services (the "Service").

By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

AmpSocial is an AI-powered social media growth platform that provides automated content creation, engagement management, review monitoring and response, analytics, and scheduling tools for small businesses. The Service integrates with third-party social media platforms (Instagram, Facebook, TikTok, LinkedIn, YouTube), Google Business Profile, and payment processors.

3. Accounts and Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized account access at support@ampsocial.ai.
  • One account per business. Team member seats may be added per your plan limits.

4. Subscription, Billing & Refunds

4.1 Free Trial

All plans include a 14-day free trial. No credit card is required to start. At the end of the trial, you must provide payment information to continue using the Service.

4.2 Paid Subscriptions

Subscriptions are billed monthly or annually in advance. All fees are in USD. Prices are subject to change with 30 days' notice. By providing payment information, you authorize us to charge your payment method on each billing cycle.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods.

4.4 Refund Policy

We offer a 7-day money-back guarantee for first-time subscribers on paid plans. Refund requests must be submitted to billing@ampsocial.ai within 7 days of your first charge. Subsequent billing cycles are non-refundable.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party terms of service (including platform terms of Instagram, Facebook, TikTok, LinkedIn, YouTube, and Google)
  • Post spam, misinformation, hate speech, or content that harasses or threatens others
  • Engage in inauthentic behavior, purchase fake followers, or artificially inflate engagement metrics
  • Attempt to circumvent platform rate limits or API restrictions
  • Access or attempt to access other users' accounts or data
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any illegal commercial purpose
  • Introduce malware, viruses, or other harmful code

Violation of this section may result in immediate suspension or termination of your account without refund.

6. Content Ownership & License

6.1 Your Content

You retain all ownership rights to content you upload to the Service ("Your Content"). By uploading content, you grant AmpSocial a limited, non-exclusive, royalty-free license to process, store, and use Your Content solely for the purpose of providing the Service to you.

6.2 AI-Generated Content

Content generated by our AI tools on your behalf ("Generated Content") is delivered to you for your use. You are responsible for reviewing, approving, and ensuring Generated Content complies with applicable laws and platform policies before publication.

6.3 AmpSocial IP

The Service, its design, code, trademarks, and all non-user content are the exclusive property of AmpSocial. Nothing in these Terms transfers ownership of AmpSocial intellectual property to you.

7. Third-Party Integrations

The Service integrates with third-party platforms. Your use of those integrations is subject to those platforms' own terms of service. We are not responsible for changes to third-party APIs, platform policy changes, or suspension of your accounts on those platforms.

8. Disclaimers & Limitations

8.1 No Guarantee of Results

AmpSocial does not guarantee specific results such as follower counts, engagement rates, lead volume, or revenue. Social media growth depends on many factors outside our control.

8.2 Service Availability

We strive for high availability but do not guarantee uninterrupted access. We are not liable for downtime, data loss, or delays caused by third-party services, infrastructure failures, or events beyond our reasonable control.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPSOCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

8.4 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify and hold harmless AmpSocial and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

10. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately for violation of these Terms. Upon termination, your right to access the Service ceases. We may retain certain data as required by law or our Privacy Policy.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations. You waive any right to participate in class action proceedings.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by email or in-app notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
